Terms And Conditions

We believe in transparency. These terms explain how we work together, what you can expect from us, and what we need from you to create something amazing for your ministry. Clear agreements mean stronger partnerships.

1. Interpretation

In these Conditions, the following definitions apply:

  • “Conditions” means these terms and conditions
  • “Contract” means the contract between us and you for the supply of Services
  • “you”, “your” means the person or organization who purchases Services from us
  • “Services” means faith-based website design, church branding, digital outreach, email marketing, web hosting, IT support, and related services as detailed in our Service Offerings
  • “Intellectual Property Rights” means all patents, rights to inventions, copyright, trademarks, rights in designs, database rights, and all other intellectual property rights
  • “Order” means your order for Services
  • “we”, “us”, “our” means Church Web Studio

2. Basis of Contract

2.1

The Order constitutes an offer by you to purchase Services in accordance with these Conditions.

2.2

The Order shall only be deemed accepted when we issue written acceptance of the Order, at which point the Contract shall come into existence.

2.3

Any samples, drawings, descriptive matter, or advertising produced by us and any descriptions or illustrations contained on our website are produced for the sole purpose of giving an approximate idea of the Services described in them. They shall not form part of the Contract or have any contractual force.

2.4

These Conditions apply to the Contract to the exclusion of any other terms that you seek to impose or incorporate.

3. Service Eligibility and Doctrinal Alignment

3.1

We reserve the right to refuse service to any Christian organization or professional if we determine that their theological positions, practices, or publicly stated beliefs are deemed too progressive or contain views that would be considered heretical and directly contradict our core beliefs and values.

3.2

We align with conservative Christianity and biblical orthodoxy. We will not provide services to organizations or individuals whose teachings or practices we believe deviate from sound doctrine as outlined in Scripture.

3.3

In accordance with 1 Timothy 4:1, which warns that “in latter times some will depart from the faith, giving heed to deceiving spirits and doctrines of demons,” we maintain the right to decline partnerships with those whose teachings we believe contradict fundamental biblical truth.

3.4

This determination shall be made at our sole discretion, and we are not obligated to provide detailed explanations for such decisions.

4. Supply of Services

4.1

We shall provide the Services in accordance with the service description in all material respects.

4.2

We shall use reasonable endeavors to meet any performance dates specified, but any such dates shall be estimates only.

4.3

We reserve the right to amend the service specification if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Services.

5. Our Obligations

5.1

We shall:

  • Provide the Services with reasonable care and skill
  • Use suitably qualified personnel to perform the Services
  • Comply with all applicable laws in providing the Services

5.2

Project timelines and deliverables will be agreed upon in writing at the start of each project.

6. Your Obligations

6.1

You shall:

  • Provide us with all information reasonably required to perform the Services
  • Provide timely feedback and approvals when requested
  • Ensure all information provided is accurate and complete
  • Cooperate with us in all matters relating to the Services
  • Provide access to necessary systems and accounts where required

6.2

If our performance of the Services is prevented or delayed by your failure to fulfill any obligation (“Client Default”):

  • We may suspend performance until you remedy the Client Default
  • We shall not be liable for any costs or losses sustained by you arising from the Client Default
  • You shall reimburse us for any costs or losses sustained by us arising from the Client Default

7. Charges and Payment

7.1

Service fees will be as set out in our pricing documentation or as otherwise agreed in writing.

7.2

We reserve the right to increase our charges on giving notice to you.

7.3

You shall pay each invoice submitted by us:

  • Within 30 days of the date of the invoice
  • In full and in cleared funds to a bank account nominated by us
  • Time for payment shall be of the essence

In the event of late payment, we reserve the right to:

  • Charge interest at 5% above the applicable base rate on the overdue amount from the due date until payment is made
  • Suspend performance of Services until all outstanding amounts are paid in full
  • Recover any legal or collection costs incurred in recovering overdue amounts

7.4

All amounts payable are exclusive of applicable taxes.

8. Intellectual Property Rights

8.1

All Intellectual Property Rights in or arising out of the Services shall be owned by us.

8.2

We grant you a fully paid-up, non-exclusive, royalty-free license to use deliverables from the Services for the purpose they were provided. You may not sublicense, modify, or redistribute deliverables without our prior written consent.

9. Data Protection

9.1

Both parties shall comply with all applicable data protection requirements as set out in our Privacy Policy.

10. Limitation of Liability

10.1

Nothing in these Conditions shall limit or exclude our liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any matter in respect of which it would be unlawful to exclude or restrict liability

10.2

Subject to clause 10.1:

  • We shall not be liable for loss of profits, sales, business, or revenue unless expressly agreed in writing for high-value projects
  • Our total liability to you shall not exceed the amount paid for the Services, except where liability caps are reviewed and agreed for high-value projects

11. Termination

11.1

Without limiting other rights or remedies, either party may terminate the Contract by giving the other one month’s written notice.

11.2

Without affecting any other right or remedy available to it, either party may terminate the Contract with immediate effect if:

  • The other party commits a material breach of any term of the Contract
  • The other party takes any step or action in connection with entering administration or liquidation

11.3

On termination of the Contract:

  • You shall immediately pay all outstanding unpaid invoices
  • We shall deliver all outstanding deliverables upon payment

12. Refund and Cancellation Policy

12.1

All deposits paid are non-refundable.

12.2

If you cancel the Services after work has commenced, you will be liable for costs incurred for work already completed.

12.3

We reserve the right to cancel the Contract and provide refunds only in exceptional circumstances.

13. Confidentiality

13.1

Both parties shall maintain the confidentiality of all information disclosed during the performance of the Contract and shall not disclose such information to any third party without prior written consent.

13.2

This obligation shall not apply to information that:

  • Is or becomes publicly available
  • Was known to the receiving party before disclosure
  • Is disclosed to comply with legal obligations

14. Amendments to the Contract

14.1

Any amendments to these Conditions or the Contract must be agreed upon in writing by both parties.

15. General

15.1 Force Majeure

Neither party shall be in breach of the Contract nor liable for delay in performing obligations if such delay is caused by events beyond reasonable control.

15.2 Assignment

You may not assign or transfer your rights under the Contract without our prior written consent.

15.3 Entire Agreement

The Contract constitutes the entire agreement between the parties.

15.4 Notices

Any notice given under the Contract shall be in writing and sent to hello@churchwebstudio.com.

15.5 Governing Law

The Contract shall be governed by the laws of the jurisdiction where services are provided and the appropriate courts shall have jurisdiction.
